Offsite Training Agreement

TallyGenicom requires the following terms and conditions be agreed to by the company
requesting product service training to be conducted at their location or locations. Agreement
to the following terms and conditions as evidenced by the submission of this form to TallyGenicom
by a company representative is considered by TallyGenicom to be binding.
Training Dates: Training dates shall be established by mutual agreement between the
party requesting training and TallyGenicom Technical Services.
Registration: Registration for training at locations other than TallyGenicom's training
facilities shall be complete a minimum of 30 days prior to the first day of training. The
registration process includes providing client company billing information, a list of registrants,
training site information, and establishing a method of payment. Course registration is considered
complete only when acceptable arrangements for payment are made and confirmed by TallyGenicom Order
Entry. The registration process is initiated by submitting an electronic or fax registration form
to TallyGenicom Technical services.
Cancelation: Due to lead times required in preparation and equipment shipping, requests
for cancellation with full refund will be accepted up to 14 calendar days prior to the first
day of training. Cancellations within a period of 14 days will result in the party registered
for training being responsible for payment of all training course fees and expenses incurred by
TallyGenicom in preparing for the training course. These expenses include but are not limited to
non-refundable travel and living related expenses and non-refundable material transportation
costs.
Training Venues: Training sites remote from TallyGenicom facilities will be provided solely at
the expense of the company requesting training. Training sites should provide adequate floor space
to accommodate seating and work tables to accommodate all students, adequate floor and/or worktable
area to accommodate one product for every two persons being trained, a white board or easel, and
a work table for the instructor. Training sites should also provide adequate power to accommodate
one product for every two persons being trained.
Training Equipment: Printer products to be used for training purposes may be provided
by the training requestor or by TallyGenicom. Equipment provided by the training requestor should
be available in a quantity to provide one printer for every two students under ideal conditions
or minimally at a quantity adequate to provide one printer for every three students. It should
be realized by the training requestor the less opportunity for hands on experience during training
the less effective the training course will be for each participant.
Equipment provided by TallyGenicom will be transported to the training venue and return shipped to
TallyGenicom at the expense of the company requesting training. Adequate insurance will be underwritten
through the carrier on all material to adequately compensate TallyGenicom for loss due to shipping and
handling.
TallyGenicom will not provide personal computers, connectivity devices, or data cables to be used
as data sources during training except as may be used by the trainer for demonstration purposes.
TallyGenicom will not be responsible for the condition of equipment provided by the training
requestor during a training course or after a training course has been completed.
Training Related Material: As with training at TallyGenicom materials used in conjunction with
the training course(s) will be provided by TallyGenicom as part of the training package. Transportation
of training material to the training venue will be at the expense of the company requesting
training as it is considered part of the training equipment.
Travel and Living Expenses: Travel and living expenses incurred by TallyGenicom personnel
from departure to the training venue through return from the training venue will be borne by
the training requestor. This may be accomplished by the requestor making reservations for air
and ground travel including car rentals and hotel reservations utilizing their credit resources
or by pre-paying a travel expense fund to TallyGenicom based on estimates provided by TallyGenicom. Actual
expenses will be drawn against prepaid travel funds held in reserve. Pre-paid travel funds
exceeding actual expenses will be returned to the training requestor or credited towards the
purchase of TallyGenicom product and/or training tools. Travel expenses exceeding pre-paid travel
funds or not included in reservations made by the training requestor will be billed to the
training requestor within 30 days of completion of training.
